1. Acceptance of These Terms
By creating a Redbee account or using the Redbee platform in any capacity — as a Client, Freelancer, Account Manager, or otherwise — you agree to these Terms of Service. If you do not agree, do not use Redbee. These Terms apply to every account created on the platform, regardless of role.
2. What Redbee Is
Redbee is an account-manager-mediated marketplace connecting Clients who need creative and marketing work with Freelancers who perform that work. Redbee is not the employer of any Freelancer, and Freelancers are independent contractors, not Redbee employees. Redbee is not a party to the underlying creative engagement between a Client and a Freelancer — our role is to facilitate matching, project management via Account Managers, secure payment handling, and dispute mediation. Redbee does not guarantee the quality, timeliness, or suitability of any Freelancer's work beyond the review and revision process described in Section 7.
3. Client Rights & Obligations
Clients purchase platform credits and spend them to commission tasks. Clients are responsible for providing accurate, complete project briefs — Redbee and its Freelancers are not liable for delays or quality issues caused by incomplete or inaccurate briefs. Once a task is marked Completed and paid, the Client is not entitled to a credit refund for that task except through the dispute process described in Section 7. Clients must not attempt to engage a Freelancer directly, outside the Redbee platform, to circumvent platform fees for work originating on Redbee.
4. Freelancer Rights & Obligations
Freelancers are organized into tiers (Starter, Trusted, Pro, Elite) based on platform-reviewed performance and are eligible to claim tasks matching their tier. Freelancers must deliver work that reasonably matches the task brief, within the agreed deadline and revision allowance. Payout timing: once a Freelancer requests a payout of their available balance, Redbee processes that payout within 7 business days. This window exists because payouts are reviewed and released manually by Redbee's accounting team, not paid instantly — Freelancers should plan around this processing time rather than expecting same-day payment.
5. Intellectual Property & Deliverable Ownership
Upon full payment for a completed task, ownership of the specific deliverable produced for that task transfers to the Client, except for any pre-existing tools, templates, or stock assets the Freelancer used, which the Freelancer retains ownership of and grants the Client a license to use as part of the delivered work. Freelancers retain the right to display completed work in their own portfolio unless the Client explicitly requests confidentiality in the task brief.
6. Credits & Payments
Credits are the unit of exchange on Redbee, purchased by Clients via the manual top-up flow and approved by Redbee's accounting team. Credits are not legal tender, are non-transferable between accounts, and are consumed when a task is assigned and completed. Redbee reserves a platform fee on every task, deducted from the Client's credit price before the remainder is credited to the Freelancer's balance.
7. Revisions & Dispute Resolution
Each task specifies a revision allowance agreed at creation. If a Client is dissatisfied with a submission within that allowance, the Account Manager mediates between Client and Freelancer to reach a resolution — additional revisions, a partial credit adjustment, or reassignment. Redbee's Account Managers act as good-faith mediators; their decisions on task-level disputes are final within the platform's internal process, without prejudice to any other rights either party may have.
8. Account Suspension & Termination
Redbee may suspend or terminate any account that violates these Terms, engages in fraud, attempts to circumvent platform fees, or is abusive toward other users or staff. A Client's unused credit balance and a Freelancer's earned-but-unpaid balance at the time of termination for cause may be forfeited where termination results from a Terms violation; otherwise, outstanding balances are settled in the ordinary course.
9. Limitation of Liability
Redbee provides the platform on an "as-is" basis. To the maximum extent permitted by law, Redbee is not liable for indirect, incidental, or consequential damages arising from use of the platform, including business losses arising from a Freelancer's work product or a Client's project outcome. Redbee's total liability for any claim is limited to the credit value directly associated with the task giving rise to the claim.
10. Changes to These Terms
Redbee may update these Terms from time to time. Material changes will be reflected by a new version date, and continued use of the platform after an update constitutes acceptance of the revised Terms. Your account records which version of these Terms you most recently accepted.
11. Governing Law
These Terms are intended to be governed by the laws of the Arab Republic of Egypt. This section is a placeholder pending confirmation of jurisdiction, dispute-forum, and enforceability specifics by qualified legal counsel.
